P34 Membership Terms of Use

Draft for counsel review — not yet effective. Version 0.9 · August 2026 · These Membership Terms govern the P34 Membership program. Use of the P34 API, management console and simulator is separately governed by the P34 API Terms of Use (effective 2026-07-20), presented at registration in the management console. Where you use both the membership program and the API service, both agreements apply, each to its own subject matter.

1. Who we are and what these Terms cover

These P34 Membership Terms of Use (the “Membership Terms”) form an agreement between CriticalHop Inc, doing business as HyperC (“HyperC,” “we,” “us”) and the person or legal entity that enrolls in the P34 Membership program (“Member,” “you”). By enrolling in the membership, clicking to accept, or using membership benefits, you agree to these Membership Terms.

The “Membership Program” means the membership offering described on this website, comprising some or all of: (a) access to the P34 service on a paid plan (governed by the API Terms of Use); (b) member community spaces; (c) member-only research, case studies, mockups, testing environments, agent skills and technical materials; (d) the model-generated opportunity feed described in Section 6; (e) founding-member benefits described in Section 5; and (f) priority access to new capabilities and newly supported markets.

These Membership Terms incorporate by reference the API Terms of Use, the Acceptable Use Policy and the Privacy Policy. If these Membership Terms conflict with the API Terms of Use regarding use of the API, console or simulator, the API Terms of Use control; regarding the community, opportunity feed and founding benefits, these Membership Terms control.

2. The nature of the membership — read this first

The Membership Program sells present-day business infrastructure and access: compute, models, APIs, research, opportunity feeds, community and supported-market workflows.

  • You own and operate your own business. You supply the capital, hold the accounts, make (or authorize) the decisions, execute (or authorize) the transactions, and receive the entire economic result — profits and losses alike. HyperC supplies software, intelligence, compute and execution infrastructure, and charges subscription, usage and, only where you enroll a project, success-based service fees.
  • Membership is not an investment. It confers no equity, ownership, dividends, revenue share of HyperC, or corporate profit rights, and is not offered or sold on any expectation that the membership itself will appreciate or become resalable at a profit.
  • No earnings promise. HyperC does not represent that any Member will earn money, avoid losses, or achieve any particular result. Model outputs are statistical estimates; markets carry risk; historical and benchmark results — including our published ones — do not guarantee future outcomes.
  • Independence. You are not HyperC's franchisee, agent, partner or employee. You are not required to operate under HyperC branding, and HyperC does not direct or control your business operations.
  • Roadmap is roadmap. Capabilities described as planned, upcoming, rolling out or directional (including “supervised autonomy” and “self-driving business”) are statements of intention, not commitments, and may change or never ship.

3. Eligibility and accounts

You must be at least 18 years old, have legal capacity to contract, and use the membership primarily for business, professional, technical or research purposes. The membership is not intended for personal, family or household consumer use. Account registration, credentials, authorized users and account security are governed by the API Terms of Use, Sections 3.1–3.5, which apply equally to the Membership Program.

4. Fees, renewal and cancellation

  • The base membership fee is US$200 per month unless a different plan or order form applies. Higher tiers (currently offered by application) carry the prices stated at enrollment.
  • Membership renews automatically each month until canceled. You may cancel through the console or by contacting us; cancellation takes effect at the end of the current billing period. Fees are nonrefundable and cancellations are not prorated, except as required by law or expressly stated.
  • Part of the membership fee is delivered as compute allowance under your plan, subject to the token, effort-level and fair-use provisions of the API Terms of Use (Sections 5–7). Unused allowance expires per those terms.
  • Price increases require at least 30 days' notice and take effect no earlier than your next renewal; you may cancel before an increase applies.
  • Taxes are your responsibility and are excluded from stated fees.

5. Founding-member benefits

Founding-member benefits are the specific, contract-defined advantages stated in your account or an order form. Where designated by HyperC:

  • Introductory performance-fee rate. Early paid accounts designated as Early Access Paid Accounts receive the introductory 10% performance-fee rate for profit-share pricing, per Section 8.2 of the API Terms of Use. Designation is assigned by paid-registration order and shown in your account; no Member is entitled to the rate solely because of when it believes it registered.
  • Founding price. Your subscription rate at enrollment is maintained while your membership remains continuously active and eligible. A lapse in payment or a plan change may end founding-rate eligibility, as stated at the time of the change.
  • Priority access. Early access to new model capabilities, newly supported markets and higher-tier capacity, where operationally feasible. Priority access is a queue position, not a guarantee of availability or of any particular release date.

Founding benefits are personal to your account and are not transferable, resalable or redeemable for cash. HyperC may offer different terms to different cohorts.

6. Opportunity feed

The “Opportunity Feed” means periodic model-generated commercial opportunities that meet published P34 acceptance criteria, offered to eligible Members under defined allocation rules.

  • Published criteria and allocation. Acceptance criteria (including model version and methodology) and allocation rules are published to Members. Allocation may consider tier, tenure, market eligibility, capacity and fairness; it is not first-come-first-served unless stated.
  • Information, not advice or brokerage. An opportunity listing is model output: an identified candidate transaction with predicted economics and stated assumptions. It is not investment, financial, legal or tax advice; not an offer of securities; and not a solicitation to enter any transaction. HyperC is not a party to, broker of, or agent in your transactions unless separately agreed in writing.
  • You transact; you verify. If you pursue an opportunity, you do so through your own accounts and counterparties, at your own risk, after your own verification. Predicted economics are estimates; the disclosed assumptions (fees, returns, delays, liquidity, counterparty behavior) may not hold.
  • No exclusivity; similar output. The same or similar opportunities may be shown to multiple Members under the allocation rules, and market conditions may change between generation and your action.
  • Regulated markets excluded. The Opportunity Feed covers ordinary commerce only. Opportunities in regulated commerce or financial markets, where offered at all, are made available only under separate market-specific terms and applicable law.

7. Community and member materials

  • Community conduct. Member spaces are for operators helping operators. No harassment, spam, unlawful content, or solicitation of investments; no sharing of other members' nonpublic information; no posting of earnings claims that violate Section 8. HyperC may moderate, suspend or remove community access for violations.
  • Member-only materials. Private technical materials, mockups, research previews and agent skills provided to Members are HyperC Confidential Information: use them for your own business under your membership, and do not republish, resell or share them outside your organization.
  • Your content. You retain ownership of content you post; you grant HyperC a nonexclusive license to host and display it within member spaces. Feedback is licensed to HyperC per Section 13.8 of the API Terms of Use.
  • Case-study consent. HyperC will not publicly identify you or your results without your permission.

8. Claims you may not make

Because member results vary and member marketing reflects on the program, you agree not to publicly attribute to HyperC or P34: guaranteed profits, “passive income,” assured success rates, membership resale value, or any earnings representation that lacks a written, substantiated basis. If you publish your own results, present them accurately, with period, scope and methodology, and disclose any material relationship with HyperC. Creators and affiliates must additionally follow the published claims library and disclosure rules.

9. Use of the P34 service

All use of the P34 API, management console, simulator, tokens, effort levels, profit-share pricing, regulated-market classification, acceptable-use rules, data handling and model training is governed by the API Terms of Use. In particular, Members are reminded that: the service provides decision support and does not execute trades, hold funds or act as your agent unless separately agreed in writing (API Terms §4.3); regulated-market uses are excluded from profit-share pricing and may be restricted (API Terms §9); and consequential decisions about individuals require prior written approval and appropriate safeguards (API Terms §10.3).

10. Suspension and termination

You may cancel at any time per Section 4. HyperC may suspend or terminate membership benefits on the grounds, and with the notice, stated in Sections 11 and 19 of the API Terms of Use, which apply to the Membership Program with “Service” read to include membership benefits. On termination: community and member-material access ends; accrued payment obligations survive; founding designations lapse unless the applicable order form says otherwise; and any enrolled profit-share projects wind down per API Terms §8.16.

11. Disclaimers and liability

THE MEMBERSHIP PROGRAM AND ALL MEMBER BENEFITS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” THE DISCLAIMERS IN SECTION 21 OF THE API TERMS OF USE — INCLUDING THE ABSENCE OF ANY WARRANTY THAT YOU WILL EARN PROFIT OR AVOID LOSS — APPLY TO THE MEMBERSHIP PROGRAM IN FULL. HYPERC'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE MEMBERSHIP PROGRAM IS LIMITED AS PROVIDED IN SECTION 23 OF THE API TERMS OF USE (FOR PAID MEMBERS, FEES ACTUALLY PAID IN THE PRECEDING 12 MONTHS). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

12. General

Delaware law governs; exclusive venue is the state and federal courts located in Delaware; each party waives jury trial to the maximum extent permitted (API Terms §24). HyperC may update these Membership Terms with at least 30 days' notice for material changes affecting paid Members; continued membership after the effective date is acceptance, and you may cancel before a change applies. Assignment, force majeure, severability, entire-agreement and related general provisions follow Sections 25–26 of the API Terms of Use. These Membership Terms and the documents they incorporate are the entire agreement about the Membership Program.
